1. Acceptance of Terms

By accessing or using fluxd.news ("the Service"), you agree to be bound by these Terms of Service ("Terms"). If you do not agree to all of these Terms, do not use the Service. These Terms apply to all visitors, registered users, and paying subscribers.

The Service is operated by Vedha LLC ("we", "us", or "our"). By using the Service you also confirm that you have read and understood our Privacy Policy.

2. Eligibility

You must be at least 16 years old to use the Service. By using the Service you represent and warrant that you meet this requirement and that any registration information you provide is accurate.

3. Description of Service

fluxd.news is an AI-powered news aggregation platform that collects, summarises, and presents publicly available news articles from third-party sources. The Service provides both a free tier and paid subscription ("Pro" and "Elite") plans with differentiated access to real-time data, market sentiment, and additional features.

Article summaries are generated by automated AI systems. We make no guarantee as to the accuracy, completeness, or timeliness of summaries or raw article content sourced from third parties.

4. Accounts & Registration

You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account. Notify us immediately at admin@vedhallc.com if you suspect any unauthorised use of your account. We reserve the right to terminate accounts that violate these Terms.

5. Subscriptions & Billing

Paid plans are billed on a recurring monthly basis via Stripe. By subscribing you authorise us to charge your payment method on each renewal date until you cancel. All prices are in USD and exclude applicable taxes.

You may cancel your subscription at any time from the Settings page. Your access to paid features will continue until the end of the current billing period. We do not provide pro-rated refunds for partial months unless required by applicable law.

We reserve the right to change pricing with at least 30 days' notice sent to the email address associated with your account.

6. Acceptable Use

You agree not to use the Service to:

• Scrape, crawl, or systematically download content in bulk
• Reproduce, redistribute, or republish article content or AI summaries without our written consent
• Circumvent any rate limits, access controls, or paywalls
• Upload or transmit malware, spam, or any unlawful content
• Impersonate any person or entity, or misrepresent your affiliation
• Use the Service for any unlawful purpose or in violation of any applicable regulations

7. Intellectual Property

The fluxd.news name, logo, interface design, and all original content produced by us (including AI-generated summaries) are the property of Vedha LLC. All rights are reserved. Third-party article content remains the property of the respective publishers and is subject to their own copyright terms.

By using the Service you do not acquire any ownership interest in any content or intellectual property.

8. Third-Party Content & Links

The Service aggregates content from third-party news sources. We do not endorse, control, or assume responsibility for any third-party content, websites, or services linked to from the Service. Access to third-party content is subject to those parties' own terms and policies.

9. Disclaimer of Warranties

THE SERVICE IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EITHER EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES.

Nothing on the Service constitutes financial, investment, legal, or professional advice. Market data and sentiment scores are for informational purposes only.

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, VEDHA LLC AND ITS OFFICERS, EMPLOYEES, AND AFFILIATES SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICE, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING UNDER THESE TERMS SHALL NOT EXCEED THE GREATER OF $50 OR THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM.

11. Termination

We may suspend or terminate your access to the Service at any time, with or without notice, for conduct that we believe violates these Terms or is harmful to other users, us, or third parties. Upon termination, all provisions of these Terms that by their nature should survive will survive, including ownership provisions, warranty disclaimers, and limitations of liability.

12. Governing Law & Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to its conflict-of-law provisions. Any dispute arising from these Terms or your use of the Service will be resolved by binding arbitration in accordance with the rules of the American Arbitration Association, except that either party may seek injunctive relief in a court of competent jurisdiction.

We may update these Terms from time to time. We will notify you of material changes by updating the "Last updated" date above and, where practicable, by email. Your continued use of the Service after any changes constitutes acceptance of the revised Terms.
